Limitation of Liability
Caps on our legal responsibility
Maximum Liability
To the fullest extent permitted by law, Sovereign Tax & Salary's total liability for any claims arising from your use of the platform shall not exceed the amount you paid for premium services, or $100 USD if you are a free user.
Consequential Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
Third-Party Actions
We are not liable for actions taken by third parties, including employers, tax authorities, or financial institutions based on information from our platform.
Force Majeure
We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, or infrastructure failures.

Indemnification

All content, features, and functionality on the Platform—including but not limited to text, graphics, logos, icons, images, audio, video, data compilations, and software—are the exclusive property of Sovereign Tax & Salary or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

Termination
When and how access may be terminated

Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Disputes
Legal jurisdiction and dispute resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Dispute Resolution
Any disputes arising from or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in London, UK, in accordance with the rules of the London Court of International Arbitration.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
Changes to These Terms
How we update this agreement
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Platform.
Severability & Entire Agreement

Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and Sovereign Tax & Salary regarding your use of the Platform. They supersede any prior agreements, communications, or understandings, whether oral or written.
No Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
